Zambia Bata Shoe Company Increases Share Capital Following EGM

Zambia Bata Shoe Company PLC has successfully increased its authorised share capital to comply with new statutory requirements for public companies. The decision was approved during an Extraordinary General Meeting (EGM) held virtually on 27 November 2025.

The Company’s nominal capital was previously ZMW 780,000, equivalent to 78 million shares with a par value of ZMW 0.01 each. 

Following the EGM, shareholders approved an increase in authorised capital to ZMW 2,000,000 through the creation of 122 million new ordinary shares, each carrying the same rights as existing shares.

The move aligns with the Companies (Fees) Regulations 2022, which mandate that public companies maintain a minimum nominal capital of ZMW 2,000,000. 

The Company also granted its directors authority to take all necessary actions to implement the resolutions, including executing relevant documents and communications.

The EGM outcome ensures that Zambia Bata Shoe Company PLC is fully compliant with the Companies Act No. 10 of 2017 and positions the firm for future growth and investment.
