Standard Chartered Zambia Finalizes Capital Boost; Set to List 416 Million New Bonus Shares

Standard Chartered Bank Zambia Plc has announced the finalisation of its bonus share issue, following the successful completion of the registration process approved by shareholders at an Extraordinary General Meeting held in December 2025.

In a SENS announcement issued on 17 February 2026, the bank said the bonus share issue is now ready to be implemented, marking a key step towards strengthening its capital base in line with regulatory requirements set by the Bank of Zambia.

The primary objective of the bonus share issue is to increase the bank’s minimum paid-up share capital from ZMW416.7 million to ZMW520 million, ensuring compliance with Basel II and III capital adequacy guidelines. As a result, the number of issued shares will rise from 1.67 billion to approximately 2.08 billion ordinary shares.

Under the approved structure, shareholders will receive one bonus share for every four ordinary shares held as at the record date. A total of up to 416.7 million new ordinary shares, each with a par value of ZMW0.25, will be issued and fully paid up through the capitalisation of reserves.

The bank noted that the bonus share issue will lead to a proportional adjustment in the share price. Following the issue, the share price will be diluted by a factor of 1.25, with the closing price prior to suspension adjusted accordingly to determine the reference price.

Trading in Standard Chartered Bank Zambia shares will be temporarily suspended on 23 February 2026 to facilitate the listing process. The bonus shares are scheduled to be listed on the Lusaka Securities Exchange on 26 February 2026, after which trading in the bank’s shares will resume.

The bank said it will continue to keep shareholders and the market informed of any further developments relating to the bonus share issue.

The announcement was approved by the Lusaka Securities Exchange and the Securities and Exchange Commission of Zambia, and was issued on behalf of the board by Company Secretary Doris Tembwe.
